Article 1 Purpose

These Terms of Service (the "Terms") set out the rights, duties, responsibilities, and conditions of use between ValueLabs, represented by Taebeom Kim (the "Company"), and users of the Plandi website and related online functions operated by the Company (the "Service").

Article 2 Definitions

The terms used in these Terms have the following meanings.
1. "Service" means the functions the Company provides through the website, including the AI planning tools (idea interview, IA, and screen design), the sale of planning passes and digital products, planning and screen-design consultation and engagement requests, the about page, informational content such as the blog and startup information, and related features.
2. "Member" means a person who agrees to these Terms, registers by email or with a social account (Naver, Kakao, or Google) under the procedure set by the Company, and uses the Service.
3. "Content" means text, images, planning information, information architecture (IA), screen designs, files, links, and other materials that a user enters, uploads, writes, or stores, or that are generated in the course of using the Service.
4. "AI Output" means documents, interview summaries, IA, screen designs, suggested copy, or other materials generated from a user's input by an artificial intelligence model connected by the Company.
5. "Planning pass" means a usage right that allows a user to create a new plan (including IA) and generate a set number of screens in the AI planning tools. One planning pass covers one new plan and 20 screens; detailed usage rules are shown in the Service.
6. "Digital product" means digital content sold by the Company, such as development planning kits and ready-made site sources, that is provided as a download or as a copy in the user's workspace.
7. "Points" means credits the Company grants through events, rewards, and the like, which can be used for a discount within a set limit when paying for paid products. Points cannot be exchanged for cash.
8. "Engagement" means a user's request that the Company perform planning, screen design, or equivalent professional work. The scope, schedule, fees, and rights in deliverables of an Engagement are determined by a separate quotation and contract after consultation.
9. Terms not defined in these Terms follow applicable laws and general commercial practice.

Article 3 Posting and Amendment of the Terms

1. The Company posts these Terms on the Service screen or a linked screen so that users can easily review them.
2. The Company may amend these Terms to the extent that the amendment does not violate applicable laws.
3. When amending these Terms, the Company announces the effective date and the reasons for the amendment before the effective date through the Service, email, or other reasonable means. For changes that are unfavorable to users or otherwise material, the Company provides advance notice for the period required by law or at least 7 days.
4. If a user continues to use the Service after the effective date of the amended Terms, the user is deemed to have agreed to them. A user who does not agree may terminate the service agreement.

Article 4 Membership Registration

1. The service agreement is formed when a user enters the required information through the registration procedure set by the Company, agrees to these Terms, the Privacy Policy, and other required items, and the Company accepts the application.
2. Users may register by email or with a social account (Naver, Kakao, or Google). Users who register by email must complete email verification before they can log in. When registering with a social account, the Company receives the information the user agreed to share from the social service provider, and the provider's terms and policies apply to the use of that social service.
3. Persons under the age of 14 may not register for the Service or use member-only functions. The Company does not accept applications from persons under 14 and may terminate the service agreement if such registration is discovered.
4. The Company may refuse an application or later terminate the service agreement in any of the following cases:
a. false information was entered;
b. another person's information was used;
c. the applicant is under 14;
d. the applicant was previously restricted for violating these Terms;
e. the Company determines that there is a serious risk to the operation or security of the Service; or
f. the application otherwise violates applicable laws or these Terms.
5. Members must promptly update their registration information when it changes.

Article 5 Account Management

1. Members are responsible for managing their own accounts, passwords, social accounts, and authentication methods.
2. Members may not transfer, lend, share, or pledge their accounts to any third party.
3. Members bear any damage arising from their own negligence, unauthorized use, or use by a third party, unless caused by the Company's intent or negligence.
4. A member who becomes aware of theft or unauthorized use of their account must immediately notify the Company and follow its instructions.

Article 6 Scope of the Service

1. The Company provides the following services:
a. AI planning tools: idea interview, IA, screen design, and related functions;
b. sale of planning passes;
c. sale of digital products (development planning kits, ready-made site sources, and the like);
d. planning and screen-design consultation and engagement requests; and
e. informational content such as the about page, blog, startup information, and course information.
2. Some AI planning tools, such as the idea interview, are provided free of charge within limits set by the Company and may also be used by non-members. A planning pass is required beyond the free limits and to create new plans (including IA) and generate screens. The free limits, planning pass usage rules, and the scope available to non-members are shown in the Service, and the Company may change them as needed for operations. However, if the Company changes the usage rules of planning passes already purchased in a way that is unfavorable to users, it gives advance notice under Article 3.
3. Some content, such as course information, may link to external platforms, and payments and use on those platforms are governed by the platforms' own terms.
4. The Company may change or discontinue all or part of the Service for service improvement, operational needs, security, changes in the policies of partners or AI model providers, or legal compliance. When discontinuing a paid service, the Company gives advance notice and refunds unused planning passes and the like in accordance with the Refund Policy.
5. Browsing the website, submitting a consultation request, or using the AI planning tools does not by itself create a service contract with the Company.

Article 7 AI Output

1. AI Output may vary depending on the user's input and settings, the characteristics of the connected AI models, and the service environment.
2. AI Output is for reference only. The Company does not guarantee its accuracy, completeness, timeliness, legality, fitness for a particular purpose, or immediate usability in actual projects.
3. Before using AI Output for important decisions such as business, development, design, proposals, investment, or contracts, users must review it themselves and seek professional advice where necessary.
4. Users are responsible for ensuring that their use, modification, distribution, publication, and commercial use of AI Output does not infringe third-party rights, applicable laws, or platform policies.
5. The Company may process users' input and generated output to the extent necessary for improving service quality, responding to failures, security checks, and preventing misuse. The processing of personal information is governed by the Privacy Policy.

Article 8 Intellectual Property

1. Users may freely use the Content they enter or upload to the Service and the AI Output generated at their request. Rights in Content entered by users belong to the users or the rightful owners.
2. Users permit the Company to use Content to the extent necessary for providing the Service, storage, backup, customer support, error correction, and quality improvement.
3. Rights in the Service itself and in elements provided by the Company, including software, screen layouts, designs, logos, trade names, templates, public materials, and document structures, belong to the Company or the rightful owners.
4. A user who purchases a digital product may use it for their own projects within the scope stated on the product page. Users may not resell, redistribute, or provide to third parties the digital product itself, whether as is or with partial changes.
5. Users may not copy, disassemble, reverse engineer, resell, lease, lend, crawl, or mass-collect the Service, or use it for competitive analysis, without the Company's prior written consent.
6. Rights in Engagement deliverables are determined by the contract. These Terms alone do not transfer rights in Engagement deliverables to the user or any third party.

Article 9 Paid Services and Payment

1. The Company sells planning passes and digital products for a fee. The product details, price, quantity and validity period of planning passes, and method of provision are shown on the purchase screen.
2. Payment can be made by credit card or other payment methods offered by the Company, or by bank transfer. Credit card payments are processed through a payment service provider (such as Paddle), and the Company does not directly collect or store card payment information such as card numbers. Where the payment service provider processes payments as a reseller (merchant of record), the provider and its terms are shown on the checkout screen.
3. A bank transfer payment is completed when the deposit to the account designated by the Company is confirmed. An order may be cancelled if the deposit is not made within the deadline set by the Company.
4. Paid planning passes can be used for 180 days from the date payment is completed, and planning passes granted free of charge for 15 days from the date they are granted; they expire when the validity period ends. Plans already created with a planning pass remain in the user's workspace after the validity period ends.
5. Points can be used to discount part of the payment for paid products within the limits set by the Company. The rules for earning, using, and expiring points are shown in the Service.

Article 10 Withdrawal of Purchase and Refunds

1. Users may withdraw a purchase or request a refund in accordance with applicable laws, including the Act on the Consumer Protection in Electronic Commerce, and the Company's Refund Policy.
2. For digital products, withdrawal may be restricted under applicable laws once the files have been downloaded or a copy has been created in the workspace and provision has begun. The Company shows this restriction on the product page before purchase. This does not apply if the product provided differs from what was displayed or advertised or is defective.
3. The refund criteria for planning passes, the method of calculating refund amounts, and the refund method and timing follow the Refund Policy posted in the Service.

Article 11 Engagements and Contracts

1. Planning and screen-design Engagements proceed by a separate quotation and contract after consultation. Consultations and Engagement requests are made through the consultation page on the website or other contact methods designated by the Company.
2. Payment methods, schedules, tax invoices, and other transaction terms for Engagement fees are set out in a separate contract.
3. A consultation request or quotation request alone does not automatically create a service contract.
4. The individual contract prevails over these Terms regarding the scope, schedule, deliverables, acceptance, confidentiality, intellectual property, and liability of an Engagement.
5. The Company may decline an Engagement or adjust its terms in light of the consultation, schedule, scope of work, or feasibility.

Article 12 Prohibited Conduct

Users must not engage in any of the following:
1. stealing another person's information or entering false information;
2. entering or generating content that violates laws or public order and morals;
3. infringing the rights of others, including intellectual property, portrait rights, personal information, and trade secrets;
4. interfering with the stable operation of the Service or causing load on or failure of servers, networks, or security systems;
5. probing, testing, or attacking security vulnerabilities;
6. accessing the Service abnormally or generating content in bulk using automated means;
7. sharing, transferring, or leasing accounts;
8. circumventing free limits or planning pass usage rules by improper means, such as creating multiple accounts;
9. using another person's payment method without authorization or obtaining payments or refunds by improper means;
10. using the Service for discrimination, hate, violence, obscenity, fraud, spam, or unauthorized advertising;
11. impersonating the Company or any third party; or
12. any other conduct that violates applicable laws, these Terms, or usage standards announced by the Company.

Article 13 Restriction of Use and Withdrawal

1. If a user violates these Terms or applicable laws or interferes with the operation of the Service, the Company may restrict use of the Service or terminate the service agreement after prior notice. However, in cases of urgent security risks, clear illegal acts, or likely harm to third parties, the Company may take necessary measures without prior notice.
2. Members may request withdrawal from the Service at any time. Upon withdrawal, member information and Content are deleted or stored separately, except for information that must be retained under applicable laws and the Privacy Policy.
3. Upon withdrawal, remaining planning passes and points are extinguished. Members who wish to receive a refund for unused paid planning passes must request it in accordance with the Refund Policy before withdrawing.
4. If a contract related to an Engagement is in progress, termination, settlement, and handling of deliverables under that contract are governed by that contract, separately from withdrawal.
5. Restriction of use or withdrawal may result in loss of access to Content stored in the Service, and the Company has no obligation to restore it, unless caused by the Company's intent or negligence.

Article 14 Suspension of the Service

The Company may temporarily suspend the Service for unavoidable reasons such as equipment maintenance, failures, network failures, failures of cloud or AI model providers, security incidents, natural disasters, or orders from laws or government agencies. The Company gives prior notice where possible and notice afterward in urgent cases. If a user is unable to use a paid service due to the Company's intent or negligence, the Company compensates the user in accordance with applicable laws and the Refund Policy.

Article 15 Disclaimer

1. The Company is not liable when it cannot provide the Service due to causes beyond its reasonable control, such as natural disasters, war, terrorism, failures of telecommunications carriers, cloud failures, failures of AI model providers, or causes attributable to the user.
2. Information on the website, the blog, startup information, the AI planning tools, and AI Output are for reference only, and the Company is not liable for business losses, loss of expected profits, or disputes with third parties arising from their use unless caused by the Company's intent or gross negligence.
3. The Company has no obligation to intervene in disputes between users or between a user and a third party.
4. If the Company or a user causes damage to the other party by violating these Terms or applicable laws, the responsible party must compensate for the damage. The Company's liability is limited to the extent its intent or negligence is established.
5. Defects, delays, acceptance, and damages relating to Engagement services are governed by the separate contract.

Article 16 Governing Law and Dispute Resolution

1. These Terms are interpreted in accordance with the laws of the Republic of Korea.
2. If a dispute arises between the Company and a user regarding use of the Service, the parties will try in good faith to resolve it through consultation.
